Agreement Between User and TuteTap

By accessing or using the TuteTap platform (the "Platform”), you agree to the following Terms & Conditions ("Terms”). These Terms form a binding legal agreement between you and TuteTap. If you do not agree, you may not use the Platform. Please read these Terms carefully and keep a copy for your records.

User Responsibilities

Eligibility & Account: You must be at least 18 years old (or have parental consent if 13-17) to use TuteTap. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You may not share, transfer, or sell your account to anyone else. If you become aware of any unauthorized use of your account, notify us immediately.

Accurate Information: You agree to provide true, current, and complete information when creating your account or using the Platform. Keep your contact details and payment information updated.

Platform Use & Conduct: Use the Platform only for its intended purpose of connecting learners and software consultants/trainers for educational services. You agree not to use TuteTap for any unlawful purpose or any activity prohibited by these Terms. This means you will not engage in fraud, harass or harm others, share offensive or infringing content, or introduce any malware or harmful code to the Platform. Always communicate and schedule sessions through TuteTap’s provided tools – do not solicit or share personal contact details to take interactions off-platform. Off-platform sessions or transactions are strictly prohibited and may result in account termination.

Respectful Communication: When participating in forums, chats, or any communication services on TuteTap, you will behave professionally and respectfully. Do not post content that is illegal, obscene, defamatory, threatening, or that violates any third-party rights (including intellectual property, privacy, or publicity rights). TuteTap may monitor communications and remove any content that violates these standards, and we may suspend or terminate users who engage in misconduct.

Third-Party Tools & Links: If TuteTap provides links to third-party websites or uses third-party services (e.g., payment processors, video conferencing tools), it is for your convenience. TuteTap does not endorse or control third-party sites and isn’t responsible for their content or any issues arising from your use of those sites. Use third-party links at your own risk and be subject to their terms and policies.

Consultant/Trainer Terms
This section applies to users who offer services as independent Consultants or Trainers ("Consultants”) on the Platform:

Independent Service Providers: As a Consultant, you are not an employee, agent, or representative of TuteTap. You act as an independent contractor offering your expertise to learners. Nothing in these Terms creates a partnership, joint venture, or employment relationship between you and TuteTap. You are solely responsible for your actions and content while using the Platform.

Listing Services & Qualifications: You may set your own rates, availability, and course offerings for your consulting or training sessions. You represent and warrant that you possess the necessary skills, knowledge, or credentials to provide the services you offer. TuteTap does not verify the qualifications or background of Consultants – it is your responsibility to ensure that all information in your profile and listings is truthful and not misleading. Any false or exaggerated claims about your expertise may result in removal from the Platform.

Compliance and Quality: You agree to deliver consulting/training services to learners in a professional manner and in accordance with any schedule or outline you advertise. You will comply with all applicable laws and regulations in providing your services (for example, any licensing requirements or tax obligations applicable to you). You further agree not to share or use any content in your training sessions that infringes others’ intellectual property rights or that violates these Terms.

Platform Use & Communication: All communication with learners must happen through TuteTap’s messaging or conferencing systems. You may not solicit learners to contact you or pay you outside of the Platform. Off-platform payments or sessions are prohibited. If a learner suggests bypassing the Platform for payment or communication, you must decline and keep all interaction on TuteTap. Violating this rule can lead to account termination and forfeiture of any earnings.

Performance and Ratings: Consultants may receive ratings or reviews from learners. TuteTap does not edit or endorse user reviews. However, we reserve the right to remove reviews that are clearly abusive or fake. Maintaining a high standard of service will help you succeed on the Platform, but TuteTap is not responsible for the evaluation or feedback provided by users.

Payment Terms
All payments for consulting/training sessions must be conducted through the TuteTap Platform. By using TuteTap, both learners and consultants agree to the following payment terms:

Booking and Payment Process: Learners must pay for sessions in advance through the Platform at the time of booking. TuteTap (via its third-party payment processors) will charge the learner’s provided payment method for the full session fee once a booking is made. The funds will be held securely until the session is completed. Consultants should not begin any session until they see that the learner’s payment has been successfully made via the Platform.

Consultant Payouts and Service Fee: Upon successful completion of a session, TuteTap will release the payment to the Consultant after deducting a platform service fee. Consultants receive 75% of the session fee, and TuteTap retains a 25% service fee for facilitating the booking and providing the Platform services. For example, if a session costs $100, the Consultant will earn $75 and $25 will be kept by TuteTap. Payouts to Consultants are typically processed promptly after session completion (exact timing may depend on the payment processor and any pending dispute resolution).

Off-Platform Payments Prohibited: For the security of all users and to ensure proper fees are paid, all transactions must go through TuteTap. You agree not to accept or request payments by any other means (such as direct bank transfers, cash, or third-party payment apps outside the Platform). Attempting to pay or get paid off-platform is a serious violation of these Terms. TuteTap may cancel bookings, withhold payouts, or terminate accounts that engage in off-platform payment activity.

Cancellation & Refund Policy: If a learner needs to cancel a pre-paid session, TuteTap’s standard refund rules apply. Cancellations made within 30 days of the original purchase date are eligible for a full refund of the session fee. Cancellations made after 30 days from purchase will receive a 50% refund. If a learner attends a session and is unsatisfied with the service, they must request a refund within 48 hours of the session's end by contacting support@tutetap.com. TuteTap will review the case and may issue a partial or full refund at its discretion. All prepaid sessions (or "session credits”) remain valid for use for 6 months from the purchase date. After 6 months from purchase, any unused session credit will expire and become non-refundable. Learners may apply an unused session credit to any available Consultant on the Platform if they choose to switch consultants or reschedule, as long as it is used within the 6-month window.

Payment Issues and Chargebacks: If there is a problem charging a learner’s payment method or if a chargeback or dispute is initiated, TuteTap reserves the right to halt the related session and investigate. We may contact the learner to resolve payment issues or require an alternate payment method. Consultants will not be paid for sessions that are not successfully paid by the learner. In the event of a chargeback or reversed payment, TuteTap may deduct the amount from the Consultant’s future payouts or seek reimbursement from the Consultant if the Consultant has already been paid for that session.

Taxes: Consultants are responsible for any taxes on their earnings as required by their local laws. TuteTap’s fees do not include any taxes. If we are required by law to collect VAT, sales tax, or other taxes or duties, we will do so in accordance with applicable laws.
 
Disclaimers

Platform as a Venue: TuteTap is an online venue that simply facilitates connections between independent consultants/trainers and learners. We do not hire or employ the Consultants, and we do not supervise the lessons or consulting sessions. Any agreement for services is solely between the learner and the Consultant. TuteTap is not a party to any service contract between users.

No Verification or Endorsement: TuteTap does not vet, verify, or guarantee the qualifications, expertise, or background of any Consultants on the Platform. Profiles and listings are created by the users. We do not endorse any particular Consultant or any content they provide. Learners should use their own discretion and judgment when choosing a Consultant. While we may, at our discretion, conduct identity checks or background screenings on Consultants, TuteTap makes no representations or warranties that a Consultant’s stated qualifications or experience are accurate or that they will meet a learner’s needs.

No Guarantee of Results: Use of Consultant services is at your own risk. TuteTap makes no guarantees or warranties, express or implied, about the quality, accuracy, or effectiveness of the advice or training you receive from Consultants. Consultants are independent professionals, and any opinions, advice, statements, or information they provide are solely theirs and not provided by TuteTap. TuteTap does not guarantee that using a Consultant will lead to any particular outcome for you (for example, improved skills, job performance, or business results).

Service "As Is”: The Platform, and all information and services provided on it, are provided "as is” and "as available” without warranty of any kind. To the fullest extent allowed by law, TuteTap disclaims all warranties and conditions, either express or implied, regarding the Platform and any services arranged through it. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Platform or services will be uninterrupted, error-free, secure, or free of viruses.

No Liability for User Conduct: TuteTap is not responsible or liable for the actions, content, or advice of any user, whether a Consultant or learner. We do not guarantee that each user is who they claim to be. You understand that we do not conduct full criminal background checks or qualification verification on users. Any relationship or interaction among users (including any information or advice exchanged) is done at your own discretion. If you have a dispute with another user, you release TuteTap from any claims, demands, and damages arising out of or connected to that dispute.

Third-Party Content and Services: Any information or content posted by users (including Consultant profiles, learner feedback, etc.) is the responsibility of those users, not TuteTap. The Platform may also contain links to third-party websites or use third-party services as part of providing the overall service (for example, payment gateways or video chat providers). TuteTap does not control or endorse third-party content or services and disclaims any liability for them.

Limitation of Liability
To the maximum extent permitted by law, TuteTap will not be liable for any indirect, incidental, consequential, special, or punitive damages, or any loss of profits, data, use, or goodwill, arising out of or related to your use of the Platform or any services obtained through the Platform. This limitation applies to any theory of liability, whether based in contract, tort (including negligence), strict liability, warranty, or otherwise, even if TuteTap has been advised of the possibility of such damages.

In particular, TuteTap shall not be liable for any harm, injury, or losses arising from: (a) the advice, opinions, or actions of any Consultant you connect with through the Platform; (b) any content posted by users, including any offensive or illegal content; (c) your inability to use the Platform or any errors or downtime in the service; or (d) any unauthorized access to or use of our servers and/or any personal information or financial information stored therein.

If, notwithstanding the above, TuteTap is found liable to you for any claim or dispute arising out of these Terms or your use of the Platform, our aggregate liability will be limited to the total fees you paid to TuteTap for services in the six (6) months preceding the event giving rise to the liability or $100 CAD, whichever is less. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you. In such cases, liability is limited to the greatest extent permitted by law.

Your sole and exclusive remedy if you are dissatisfied with the Platform or any of its services is to stop using TuteTap.

General Legal Terms

Electronic Communications: By using TuteTap, you consent to receive communications from us electronically (e.g., via email or via the Platform). You agree that all agreements, notices, and other communications that we provide to you electronically satisfy any legal requirement as if in writing.

Account Termination: TuteTap reserves the right to suspend or terminate your account at any time, for any reason, and without prior notice. This may happen if you violate these Terms, engage in fraudulent or unlawful activities, or behave in a way that harms other users or the Platform’s operations. Upon termination, your right to use the Platform will cease immediately, and any pending transactions may be cancelled. TuteTap also reserves the right to refuse service to anyone at our discretion.

Intellectual Property: All content and materials on the Platform (including text, graphics, logos, button icons, images, audio clips, and software) are the property of TuteTap or its content suppliers and are protected by intellectual property laws. TuteTap grants you a limited, revocable license to access the Platform for personal use in accordance with these Terms. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform unless expressly authorized by TuteTap. You also shall not reverse engineer or decompile any of the Platform’s software. All rights not expressly granted to you are reserved by TuteTap and its licensors.

User Content and Feedback: If you post or submit any content on the Platform (such as profile information, forum posts, reviews, messages or any materials "Submissions”), you retain ownership of your content. However, you grant TuteTap a worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and display such content for the purpose of operating and promoting the Platform. (For example, we may display your testimonials or use your feedback to improve our services.) You represent that you have the necessary rights to grant this license for any content you provide. We have the right (but not the obligation) to remove or edit any user content that violates these Terms or is otherwise objectionable.

Indemnification: You agree to indemnify and hold harmless TuteTap, its owners, officers, employees, and agents, from any and all claims, losses, liabilities, expenses, or demands (including reasonable attorneys’ fees) made by any third party due to or arising out of your use of the Platform, your violation of these Terms, or your violation of any law or rights of a third party. This means that if a third party sues us because of something you did, you will be responsible for any costs or damages we incur. TuteTap reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with us in defending such matter.

Arbitration and Dispute Resolution: If a dispute arises between you and TuteTap relating to the Platform or these Terms, we strongly encourage you to contact us first to seek an amicable resolution. If we cannot resolve the dispute informally, you agree that any claim or controversy arising out of or relating to these Terms or your use of the Platform shall be settled by final and binding arbitration. The arbitration will be conducted by a single neutral arbitrator in the English language, under the rules of the American Arbitration Association (or a similar reputable arbitration service) in a location mutually agreed upon (or, if we cannot agree, then in a location determined by the arbitrator or applicable rules). No class action or consolidation of individual arbitrations is permitted – you and TuteTap each waive the right to participate in a class action against the other. Judgment on the arbitration award may be entered in any court having jurisdiction. This arbitration agreement shall survive the termination of your relationship with TuteTap. (If you are a consumer residing in a jurisdiction that does not allow mandatory arbitration of consumer disputes, this provision may not apply to you.)

Governing Law: These Terms and any dispute arising from them are governed by the laws of the Province of Alberta and the laws of Canada applicable therein, without regard to its conflict of law principles. If for any reason a claim proceeds in court rather than arbitration, you agree that such claim will be brought exclusively in the courts of Alberta, Canada, and you consent to the personal jurisdiction of those courts.

No Warranty of Employment or Business Outcomes: You agree that no partnership, joint venture, employment, or agency relationship exists between you and TuteTap as a result of this agreement or your use of the Platform. Consultants are not employees of TuteTap, and learners are not clients of TuteTap – TuteTap simply facilitates the connections. TuteTap is not liable for any income, business opportunities, or employment offers that may (or may not) result from the use of our Platform.

Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severed from this agreement and will not affect the validity and enforceability of the remaining provisions. We will replace any invalid term with a new provision that reflects the original intent as closely as possible, in accordance with applicable law.

Entire Agreement: These Terms (along with our Privacy Policy and any additional guidelines or policies posted on the Platform) constitute the entire agreement between you and TuteTap regarding your use of the Platform, superseding any prior agreements or communications (whether oral or written) between you and us. You acknowledge that you have not relied on any representation or promise not contained in these Terms.

Changes to Terms: TuteTap may update or modify these Terms from time to time in its sole discretion. We will notify users of any material changes by posting the updated Terms on the Platform with a new effective date, and/or by sending a notice via email or the Platform messaging system. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review the Terms periodically for any updates. If you do not agree to a change, you must stop using the Platform.

Changes to Terms
Platform reserves the right, in its sole discretion, to change the Terms under which https://tutetap.com is offered. The most current version of the Terms will supersede all previous versions. The platform encourages you to periodically review the Terms to stay informed of our updates.
